Which Greek Legal Form Should You Choose?

In Greece, the IKE is the modern default for founders — limited liability with just €1 of capital. AE is for large structures and stock listings; EPE is the traditional mid-size limited.

IKE (Private Capital Company)

✅ The new default — only €1 capital

💰 Min capital: €1 (symbolic)
📋 1+ partner · 1+ administrator · GEMI registration · YMS online

Solopreneurs, software, e-commerce, consulting, digital nomads and SMEs. Liability limited to company assets. Greece's most popular new legal form since 2012 — online formation in 1 day via the YMS one-stop-shop.

EPE (Private Limited Company)

🏛️ Traditional limited — classic mid-size

💰 Min capital: €4,500
📋 1+ partner · notarised articles · GEMI registration

Founders who prefer a traditional structure with deep market recognition. EPE has long history in Greek business culture, but IKE has largely overtaken it for new formations. Still respected by banks and large suppliers.

AE (Société Anonyme)

🏦 Joint-stock — for scale + Athens Exchange

💰 Min capital: €25,000
📋 1+ shareholder · board of directors · auditor (above thresholds)

Large operations, founders raising institutional capital, or planning to list on the Athens Stock Exchange. Share transfers are simple (transfer book). High investor appeal, but heavy governance and reporting duties.

Ατομική Επιχείρηση (Sole Proprietorship)

👤 Solo trader — unlimited liability

💰 No capital
📋 AFM tax number · AADE enrolment · EFKA

Freelancers, small traders, individual consultants. Subject to personal income tax (progressive 9-44%). Cheap to start but personal assets are exposed. Foreign professionals can combine it with the KAS 50% tax break for excellent net results.

IKE via YMS — Online in 1 Day

Why Form a Company in Greece?

Greece offers direct EU single-market access, the Golden Visa, a 50% income-tax discount for inbound professionals (KAS), strong tourism and shipping sectors, and a modern digital incorporation stack.

🇪🇺

Direct EU Single Market Access

Greece is a full EU member — 450M consumers, no customs barriers, simplified OSS VAT scheme. EUR currency eliminates FX risk. An ideal gateway for non-EU founders entering Europe.

🏖️

Greek Golden Visa Programme

The Greek Golden Visa grants 5-year EU residence to the whole family for a €250,000 property investment (€800,000 in certain zones). Combined with a Greek company, you get a perfect "live and work" package across the Schengen area.

💰

KAS — 50% Tax Break for Foreign Pros

The KAS (Article 5C) regime offers a 50% income-tax discount for 7 years to professionals who were tax-resident outside Greece in 5 of the last 7 years and now relocate. Among Europe's most attractive programmes for tech founders, consultants and digital nomads.

Shipping & Logistics Edge

Greece owns the world's #1 merchant fleet. Piraeus is the Mediterranean's biggest container hub. Shipping companies enjoy the special Law 27/1975 regime — taxed on tonnage, not income. Unbeatable for logistics, export and maritime ventures.

🏛️

Tourism & Hospitality Boom

2024-2026 are breaking tourism records — 35M+ visitors/year. Airbnb, hospitality, yacht charter, restaurants, travel tech, experience platforms are in a golden cycle. The Greek islands brand is global — an ideal HQ for tourism businesses.

Renewable Energy Incentives

Greece is an EU leader in solar and wind. Guaranteed PPAs, fast-track licensing, EU Recovery Fund support. One of Europe's most attractive jurisdictions for green energy investment.

Frequently Asked Questions

I'm a foreigner — can I form a company in Greece?

Yes. EU citizens have full freedom. Non-EU citizens (Turkey, US, etc.) can also form — they simply need an AFM tax number. Greek residence is not required to set up an IKE. In some cases a local fiscal representative (φορολογικός εκπρόσωπος) is required — we provide one.

IKE, EPE or AE — which should I pick?

IKE: €1 capital, online in 1 day, the right choice for 80% of SMEs. EPE: €4,500 capital, traditional structure, stronger "established" perception with banks. AE: €25,000 capital, suited for investor rounds and Athens Exchange listing, board of directors mandatory. Start with IKE — you can later convert to AE as you scale.

What is the annual tax burden?

Corporate income tax 22% (Φόρος Εισοδήματος Νομικών Προσώπων). Distributed profits carry an additional 5% withholding. VAT (ΦΠΑ): 24% standard, 13% reduced (food, tourism), 6% medicines/books. Foreign professionals can take a 50% income-tax discount for 7 years via KAS. Extra incentives exist for renewables, R&D and shipping.

How do I claim the KAS foreign tax break?

The KAS (Article 5C of Law 4172/2013) requires: tax residence outside Greece in 5 of the last 7 years, relocation to Greek tax residence, and at least €100,000/year of investment or employment creation. If approved, all qualifying income is taxed at 50% for 7 years. Ideal for tech, finance and consulting professionals. Application is filed with AADE.

Is an accountant mandatory and how much does it cost?

Mandatory. IKE/EPE/AE require a certified accountant (λογιστής) by law. Monthly fees range €150-€800 depending on size. Double-entry bookkeeping is required above €1.5M turnover. We include 1-3 months of accounting in our formation package and then introduce a long-term accountant.

Can I sell across the EU?

Yes — without barriers. Greece is in the EU single market — full free movement of goods and services. For B2C e-commerce, once you cross €10,000/year you switch to the OSS scheme for a single VAT settlement. B2B uses reverse charge. VIES enrolment is automatic — intra-EU invoicing is clean and fast.

Company Formation in Greece — ΙΚΕ, ΕΠΕ, ΑΕ and ΓΕΜΗ Registration

Greece is one of only two EU jurisdictions where a non-EU founder can soft-land with minimal bureaucracy (the other is Bulgaria). The ΙΚΕ (Ιδιωτική Κεφαλαιουχική Εταιρεία) Private Capital Company, introduced in 2012 with a €1 minimum share capital, took Greek incorporation below the EU average for both cost and elapsed time. A three-day online ΓΕΜΗ filing gets you incorporated; AFM (tax ID), AMKA (social security), Piraeus / Eurobank / Alpha / National Bank business banking and a myDATA AADE registration follow. This guide walks the entire path and shows how ZunaPro's Athens lawyer + accountant + bank-relationship-manager network packages it into one engagement.

Choice of legal form — ΙΚΕ vs ΕΠΕ vs ΑΕ vs ΟΕ

FormMin capitalLimited liabilityNotary neededTypical fit
ΙΚΕ€1YesNo (signature attestation only)Start-ups, SMEs, e-commerce
ΕΠΕ€4,500YesYesClassic LLC — banks, consultancy
ΑΕ€25,000YesYes (strict)Larger scale, IPO-track
ΟΕ€0No (unlimited)NoSmall partnership — family business

Since 2012 the ΙΚΕ accounts for over 75% of all newly incorporated Greek companies. The drivers: €1 token capital, no notary requirement, online ΓΕΜΗ filing, unlimited partners and acceptance of in-kind contributions (laptops, IP, services).

ΓΕΜΗ (General Commercial Registry) — step by step

  1. Company name availability check — ΓΕΜΗ portal pre-clearance
  2. AFM (tax ID) for each founder via the eFORIA portal
  3. Καταστατικό (articles of association) — ΙΚΕ with attested signatures; ΕΠΕ/ΑΕ via notary deed
  4. Capital deposit — declared at €1 for ΙΚΕ; blocked bank account for ΕΠΕ/ΑΕ
  5. ΓΕΜΗ registration at the Athens, Thessaloniki or Ioannina office, 3–5 business days
  6. Company AFM and KAD (NACE code) assignment
  7. AMKA for directors and employees (social security)
  8. Bank account — Piraeus / Eurobank / Alpha / National Bank selection
  9. myDATA AADE registration — TaxisNet credentials + certified software provider
  10. POS / e-commerce acquirer onboarding — Viva Wallet, Alpha e-Commerce etc.

Foreign founder — AFM and residency permit

A non-EU founder (Turkish, Serbian, British) can incorporate a Greek ΙΚΕ remotely. Physical presence is not required to obtain an AFM; a power of attorney to a Greek representative suffices. If you want to relocate, Greece's Golden Visa programme — €250,000 in residential property (€500,000 in Athens / Thessaloniki) — grants a renewable 5-year residency permit. ZunaPro's Athens lawyer network handles PoA drafting and AFM issuance from Türkiye.

Tax: 22% corporate + 24% ΦΠΑ

Greek corporate income tax was fixed at 22% from 2022 (previously 29%, reduced in steps). ΦΠΑ is 24% mainland, 17% on the Aegean reduced-rate islands. A 5% withholding applies on dividend distribution. ΙΚΕs with turnover under €20,000 may operate under the small-business regime (μικρή επιχείρηση) with simplified accounts; above that, double-entry bookkeeping is mandatory.

ZunaPro Greek company-formation package

  • ΓΕΜΗ + AFM + AMKA filing — fully remote from your home country
  • Athens or Thessaloniki lawyer + notary + accountant coordination
  • Piraeus / Eurobank / Alpha / National Bank account-opening appointment
  • myDATA AADE TaxisNet user + e-invoice provider provisioning

Golden Visa — Greece residency through investment

The Greek Golden Visa programme, launched in 2013, grants a 5-year renewable EU residency permit on €250,000+ in residential property; the threshold rises to €500,000 in central Athens and central Thessaloniki under recent rules. Spouse, children under 21 and dependent parents are covered. For non-EU founders the Greek Golden Visa is one of Europe's most accessible routes to Schengen residency.

EFKA + KEAO — social security and debt management

For each day worked in Greece social security contributions flow through EFKA (the merged IKA + OAEE single fund). ΙΚΕ director contributions start at €222/month (Class 1) on six tiers by income. Late contributions get transferred to KEAO (Κέντρο Είσπραξης Ασφαλιστικών Οφειλών) with cumulative penalties and interest. ZunaPro's accounting package schedules EFKA contributions to avoid lapses.

"1-day ΓΕΜΗ" — is it really one day?

The Greek government markets ΙΚΕ incorporation as a 1-day process. In practice, with error-free documents, pre-issued AFM, e-signature and e-Banking, one working day is possible. Foreign founders add apostille + translation + power-of-attorney steps that push timing to 5–10 working days. ZunaPro runs the Turkish notary + Greek apostille + Athens lawyer steps in parallel, delivering a fully operational ΙΚΕ in 5 working days.

Annual obligations — balance sheet, tax return, ΓΕΜΗ update

Greek ΙΚΕ / ΕΠΕ / ΑΕ must publish the balance sheet and income statement on ΓΕΜΗ every May, file the E3 + N corporate tax return in June and remit contributions to EFKA each month-end. Annual ΓΕΜΗ fee €30–€100; ΑΕ requires a sworn auditor (ορκωτός λογιστής) adding €1,500–€4,500. ZunaPro's annual subscription orchestrates the cycle.

First-year accounting — choosing your λογιστής matters

In Athens monthly λογιστής fees run €120–€350 (small ΙΚΕ), €350–€900 (mid-cap ΕΠΕ), €900+ (ΑΕ with payroll). ZunaPro operates with certified Athens and Thessaloniki λογιστής partners who handle monthly myDATA submissions, EFKA contributions, quarterly ΦΠΑ Φ2 returns, annual E3 + N corporate return and payroll as a bundle.

One-stop online — ΥΜΣ (e-ΓΕΜΗ)

Since 2018 Greece operates ΥΜΣ (Υπηρεσία Μιας Στάσης / One-Stop Shop), a single digital interface that orchestrates ΓΕΜΗ + AFM + AMKA + ΕΡΓΑΝΗ + KEAO data flow. ZunaPro operates the ΥΜΣ portal under power of attorney from your home country.

Holding structure — ΑΕ holding ΙΚΕs

For founders running multiple activities, the typical pattern is an ΑΕ parent holding operating ΙΚΕ subsidiaries. The Türkiye–Greece double-tax treaty (1986) reduces dividend withholding to 5% on intra-treaty profit upstream. ZunaPro's Athens tax counsel designs the structure.

Investment incentives — Development Law 4887/2022

The Greek government offers 15–70% tax deductions, grants and subsidies under Αναπτυξιακός Νόμος 4887/2022. Agriculture, tourism, digital, energy and manufacturing are priority sectors. Thessaloniki, Aitoloakarnania and Thrace add a +10% regional bonus. ZunaPro prepares the file with an Athens investment-advisory partner.
